The agreement is between Cool it World Limited (“CiW”) and the Blue Patch Member (“member”)
Your micro site on Blue Patch is rented for the period of 12 months for the rental fee of
Blue Patch Foundation Member £ 120 p/y (excluding new member admin fee.)
Blue Patch Enterprise Member £ 195 p/y (excluding new member admin fee.)
VAT is included in these prices.
You may have as many primary micro sites as you wish. However you will need to register a fresh User name and email for each business or aspect of your business, eg. you make things / you run courses.
Payments by Stripe must be received by Cool it World Ltd. Please contact Blue Patch directly if you would like to make payment for an annual membership by any other means.
There is a 7-day cooling off period whereby members can change their mind and cancel to receive a full refund. A refund will only occur providing the service (your Blue Patch Business account) has not been used or logged into.
Termination/Cancellation of membership.
The membership fee is non refundable after the cooling off period.
Request for termination of memberships must be done in writing by email.
The cooling off period is 7 days once payment has been received, providing you have not logged into your Blue Patch Business account.
If you log into your Blue Patch Business account during the 7-day cooling off period, you will not be liable for a refund upon request of a cancellation.
If you wish to remove your business from Blue Patch during the year of your membership your fee will not be refundable.
The annual rental fee must be cleared before the micro site goes live on the website. The micro site template may be uploaded beforehand. The rental period will start from the time the micro site is published online. We will publish the micro site once the Member and the Blue Patch team are satisfied with the content. We may ask you to make changes or we may edit your copy before you go live.
Blue Patch reserves the rights to not publish a micro site until all copy and images meet the correct standard.
The micro site will automatically close at the end of the 12 month period unless the Member wishes to extend the rental period for a further 12 months and has paid the rental fee for the next 12 months. It is the responsibility of the Member to be aware of the expiry date and make sure the rental fee reaches CiW at least 24 hrs before the renewal date. Reminders will be automatically sent.
Members will be offered the chance to upgrade to Enterprise or Patron member. They will have the option to revert from a patron or Enterprise member’ to a Foundation member when their annual rental fee is due.
Please note that the rental fee is non-refundable.
The rental fee covers the annual audit of the renewing member’s microsite by Blue Patch curators.
Your micro site will consist of a template that you can easily upload with your full contact details, your product information and delivery information, logo, web link and images.
Should the content be incorrect or not meet the Blue Patch standard (e.g. the images are out of focus or too dark or the copy contains inappropriate language or is poorly written etc) we will unpublished it and inform the member that they need to make changes.
Posting on Blue Patch, including our blog and social media
You agree that you are responsible for your own use of the blogs and for any posts on Blue Patch. You will use the blogs, and the Blue Patch site in compliance with all applicable local, state, national and international laws, rules and regulations. CiW reserves the right at all times to remove or refuse to distribute any content on the blogs, forums, noticeboards, events, requests for help, job and training listings, including any content which violate the terms of this agreement. By posting on Blue Patch, you warrant and represent that you either own or otherwise control all of the rights to that content, including all the rights necessary for you to provide, post, upload, input or submit the content. You also warrant that any posting to Blue Patch does not infringe the copyright, trademark, publicity rights, common law rights or any other right of any third party or constitute defamation, invasion of privacy or other tortuous injury to any third party. Any content provided by third parties is provided by and is the responsibility of the person or people who made such postings. CiW does not monitor the content of the blogs and takes no responsibility for such content. You acknowledge that any reliance on material posted via the blogs and website will be at your own risk.
You agree to indemnify, defend, and hold harmless CiW, its affiliates, agents and employees from and against any and all claims and expenses, including reasonable attorney fees, arising out of or related in any way to your use of, and the contents of, the blogs and any other material you provide, transactions between you and your customers, violation of these terms, violation of any law or regulation, or violation of any proprietary or privacy right.
What can you promote?
The maximum number of items allowed to be displayed in a micro site gallery :
1 item represented as ‘images’ for Foundation members
12 + 1 items represented as ‘images’ for Enterprise members.
You must read and agree to the Blue Patch criteria.
Your items must be as sustainable and environmentally friendly as possible, without having a negative impact on children, society or the environment as a whole. CiW reserves the right to determine whether you meet these criteria and CiW has absolute discretion in removing items from the micro sites if the items, in the reasonable opinion of CiW, are not sustainable and environmentally friendly or if they have a negative impact on children, society or the environment as a whole.
Blue Patch reserves the right to share your product images and films via social media platforms, blogs, the Blue Patch iMagazine, our publicity material and press with the purpose of promoting your business and the Blue Patch website.
CiW cannot be held responsible for the site going down. The site is professionally maintained and any problems will be dealt with by the third party website host.
The annual maintenance and cleaning of the site will take it off line for several hours a year.
CiW will host all micro sites under the domain name BluePatch.org.
CiW may link certain micro sites with relevant sub-domains within the CiW environment, including forums, blogs and video. This will only be done with prior consultation with the Member and each Member has discretion to refuse such action.
The community of CiW has the right to bring bad practice and complaints to the attention of the company CiW.
Any bad practice including the sale of or uploading of unsuitable material, including images and language which could cause offence will result in the removal of the business member from the site Blue Patch.org (see also “The blog” section for further information).
The star system for reviewing Members. Inaccurate, misleading or false information leading to stars being awarded will result in the removal of stars and may result in the Member loosing their micro site.
CiW is a social enterprise company.
Governing law and Jurisdiction
This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).
